0011| RELATING TO NONPROFIT CORPORATIONS; AMENDING A SECTION OF THE

0012| NMSA 1978 TO ENCOURAGE BOARDS OF DIRECTORS TO APPOINT MEMBERS

0013| THAT REFLECT THE DIVERSITY OF THE POPULATION SERVED.

0015| BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF NEW MEXICO:
|
0016| Section 1. Section 53-8-17 NMSA 1978 (being Laws 1975,
|
0017| Chapter 217, Section 17) is amended to read:
|
0018| "53-8-17. BOARD OF DIRECTORS.--The affairs of a
|
0019| corporation shall be managed by a board of directors. The
|
0020| directors may adopt and implement provisions that regularly
|
0021| identify and serve the interests and needs of the population
|
0022| served by the corporation. These provisions may include the
|
0023| appointment of persons to the board of directors who reasonably
|
0024| reflect the ethnic, economic, gender, geographic and
|
0025| professional diversity of the population the corporation
|
0001| serves. Directors need not be residents of New Mexico or
|
0002| members of the corporation unless the articles of incorporation
|
0003| or the bylaws so require. The articles of incorporation or the
|
0004| bylaws may prescribe other qualifications for directors and
|
0005| may require that boards of directors adopt ethical standards
|
0006| similar to those standards required of a legislator, public
|
0007| officer or employee."
